Terms of Use

Please read these Terms of Use ("Terms") carefully before using the ByWhen mobile application ("App") operated by NiONlite LLC, a Maryland limited liability company ("NiONlite", "we", "us", or "our"). By downloading, installing, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You may use ByWhen only as permitted by these Terms, the Apple App Store rules, Google Play rules, and applicable law. If you are under the age of legal majority where you live, you should use the App with permission from a parent or legal guardian.

2. License

Subject to your compliance with these Terms, NiONlite grants you a limited, non-exclusive, non-transferable, revocable license to install and use ByWhen on supported Apple or Android devices you own or control, solely for personal, non-commercial use.

You may not:

• Copy, modify, distribute, sell, lease, or sublicense the App
• Reverse engineer, decompile, or attempt to extract the source code except where applicable law prohibits this restriction
• Use the App for unlawful, harmful, fraudulent, or abusive purposes
• Circumvent subscription, entitlement, security, or access-control mechanisms
• Interfere with the App, related services, or any third-party service used by the App

3. What ByWhen Does

ByWhen helps you create smart deadline reminders. The App can consider information such as task deadline, estimated duration, priority, task type, reminder style, sleep time, work hours, workdays, calendar blocks, and recurring settings to suggest reminder windows and schedule notifications.

4. Notifications and System Permissions

ByWhen uses platform permission prompts for notifications, calendar access, Apple Reminders on iOS, and other supported system features. Some features require you to grant permission. If you deny or revoke permission, related features may be unavailable or limited.

Notifications may be affected by device settings, Focus modes, Low Power Mode, network conditions, operating system behavior, or other factors outside our control. We do not guarantee delivery or timing of any notification.

5. ByWhen Premium and 7-Day Premium Access

ByWhen may provide new users with 7 days of ByWhen Premium access or a platform-managed free trial, depending on where the App was downloaded and how the app store product is configured. This access is intended to let you experience the full product before deciding whether to subscribe or purchase.

After the initial access or trial period ends, ByWhen may limit the number of active smart reminders while keeping your reminders visible in the App. Premium features may include unlimited active smart reminders, adaptive nudges, calendar-aware planning, notification actions, recurring reminders, backup-related features, and other premium functionality.

6. Subscriptions and Payments

ByWhen Premium subscriptions and any non-consumable lifetime access products are purchased through the app store where you downloaded the App. On Apple platforms, purchases are handled by Apple's in-app purchase system and billed to your Apple ID. On Android, purchases are handled by Google Play Billing and billed to your Google account. Plans, pricing, taxes, free trial eligibility, promotional access, lifetime product availability, and regional availability may vary by country, region, platform, and app store settings.

By subscribing, you acknowledge and agree that:

• Payment will be charged to your Apple ID or Google account at confirmation of purchase, depending on platform.
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Your Apple ID or Google account may be charged for renewal before the end of the current billing period according to the applicable app store rules.
• You can manage or cancel Apple subscriptions in Apple ID subscription settings.
• You can manage or cancel Google Play subscriptions in Google Play subscription settings.
• Cancellation stops future renewal but usually allows access through the remainder of the current paid billing period unless Apple, Google, or applicable law provides otherwise.
• Refunds are handled by Apple or Google, depending on where you purchased, and are subject to the applicable app store refund policies and applicable law.

You can manage Apple subscriptions at apps.apple.com/account/subscriptions. You may request Apple refunds at reportaproblem.apple.com. You can manage Google Play subscriptions through Google Play under Payments and subscriptions, or through Google Play subscription management tools available in your region.

7. Local Data and Backups

ByWhen stores task and preference data locally on your device. The App may create local backups and may let you export backup files to iCloud Drive, Google Drive, Android document storage, or another destination you choose if those options are available on your platform. You are responsible for keeping backup files secure and for deleting backup files you no longer want.

Resetting the App, deleting the App, deleting backup files, or changing iOS, Android, iCloud, Google Drive, or device storage settings may remove data. We are not responsible for lost tasks, missed deadlines, corrupted backups, or deleted local data.

8. Calendar, Reminders, and Task Imports

If you grant permission, ByWhen may read Apple Calendar events, Apple Reminders, Android Calendar events, or other supported task sources to create busy blocks or smart reminders. Imported information may be incomplete, stale, unavailable, or affected by iOS, Android, Apple, Google, or provider sync behavior. You are responsible for checking important deadlines in their original source.

Google Tasks sync, Google Drive backup, and other account-based integrations may require additional setup, permissions, or app review before they become available. Do not rely on a future integration until it is visible and working in the App.

9. Support and Feedback

If you send feedback, ideas, bug reports, screenshots, or suggestions to NiONlite, you grant us permission to use that feedback to improve ByWhen and related services without compensation or obligation to you.

10. Intellectual Property

ByWhen, including its design, name, icon, app experience, text, code, visual elements, and related materials, is owned by NiONlite or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

11. Third-Party Services

ByWhen may rely on Apple, Google, RevenueCat, Cloudflare, and other service providers to operate app distribution, subscription entitlement management, Google Play Billing, reverse trial access, notifications, diagnostics, and related functionality. Your use of those services may also be governed by their own terms and policies.

12. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, NiONlite disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and uninterrupted operation.

13. Limitation of Liability

To the maximum extent permitted by law, NiONlite will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, missed deadlines, missed reminders, lost opportunities, or business interruption arising from or related to your use of ByWhen.

14. Indemnification

You agree to defend, indemnify, and hold harmless NiONlite LLC and its owners, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, or expenses arising out of your use of the App, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

We may suspend, restrict, or terminate access to ByWhen or related services at any time if we believe you violated these Terms, used the App abusively, or if we discontinue the App. Upon termination, your license to use the App ends.

16. Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict of law rules. You agree that any dispute will be handled in the state or federal courts located in Maryland, unless applicable law requires otherwise.

17. Apple-Specific Terms

If you downloaded ByWhen from the Apple App Store, you acknowledge that these Terms are between you and NiONlite, not Apple. Apple is not responsible for the App or its content, maintenance, support, warranty, or claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as they relate to your use of the App on Apple platforms. Your use of the App is also subject to Apple's App Store rules and policies.

18. Google Play Terms

If you downloaded ByWhen from Google Play, your use of Google Play, Google Play Billing, subscription management, refunds, testing tracks, and Google services may also be governed by Google Play terms, policies, and purchase flows. These Terms are between you and NiONlite, not Google, except where Google Play policies or applicable law provide otherwise.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of ByWhen after changes become effective means you accept the updated Terms.
