Terms of Use

Please read these Terms of Use ("Terms" or "Agreement") carefully before using the CUB Rates mobile application ("App") operated by NiONlite LLC, a Maryland limited liability company ("NiONlite", "we", "us", or "our"). By downloading, installing, accessing, or using the App, you ("you" or "User") agree to be bound by these Terms. If you do not agree, you must not download, install, or use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are between 13 and 18 (or the age of legal majority where you reside), you represent that you have obtained your parent's or legal guardian's permission to agree to these Terms. The App is not intended for children under 13.

By using the App, you represent and warrant that:

• You are not a resident of, or located in, a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
• You are not listed on any U.S. Government list of prohibited or restricted parties (including the SDN, Entity List, and Denied Persons List)
• You will comply with all applicable local, state, national, and international laws when using the App

2. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices that you own or control, solely for your personal, non-commercial purposes. This license is granted only for use on devices running Apple's iOS or iPadOS, or Google's Android operating systems, as applicable.

For Apple App Store users, your license is further subject to the Usage Rules in Apple's Licensed Application End User License Agreement (to the extent not superseded by these Terms).

You may not:

• Copy, modify, adapt, translate, or create derivative works of the App or its content
• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code, except to the extent applicable law expressly prohibits such restrictions
• Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer the App to any third party
• Use the App for any unlawful, fraudulent, or unauthorized purpose
• Remove or alter any proprietary notices or labels on the App
• Use automated scripts, bots, crawlers, or scrapers to access, collect, or interact with the App or its data
• Interfere with, disrupt, or circumvent security features or access controls of the App
• Attempt to gain unauthorized access to other users' accounts or any non-public areas of our systems
• Reproduce, redistribute, or commercially exploit rate data obtained from the App

3. Description of Service

CUB Rates aggregates publicly available mortgage rate information from credit unions across the United States. Rates displayed in the App are provided for informational purposes only and do not constitute financial, investment, tax, legal, or mortgage advice. Rates shown are estimates based on publicly available data and may not reflect current, actual, or final rates offered to any individual borrower. Eligibility, approval, and final terms are determined solely by the respective lender.

Always verify rates directly with the lender before making any financial decision. NiONlite is not a mortgage broker, lender, or financial advisor, and is not affiliated with any credit union or financial institution displayed in the App.

4. User Accounts

Creating an account is optional but required for certain features such as rate alerts and premium subscriptions. If you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Be responsible for all activity that occurs under your account
• Notify us immediately at support@nionlite.com of any suspected unauthorized access

We reserve the right to refuse, suspend, or terminate any account at our sole discretion if we believe it has been used to violate these Terms.

5. Subscriptions and Payments

CUB Rates offers optional auto-renewable subscriptions that unlock premium features. The following subscription plans are available:

By subscribing, you acknowledge and agree to the following:

• Payment will be charged to your Apple ID account or Google Play account at confirmation of purchase
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period
• Your account will be charged for renewal within 24 hours prior to the end of the current period, at the same price as the original subscription (subject to any price changes notified to you in advance)
• You can manage and cancel your subscription at any time through your Apple ID Account Settings or Google Play Account Settings; cancellation takes effect at the end of the current billing period
• No cancellation of the current subscription is allowed during the active subscription period, and no partial refunds are issued for unused time within that period (unless required by law)
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a paid subscription
• Subscription pricing may vary by country, currency, and applicable taxes

6. Price Changes

We reserve the right to change subscription prices at any time. If we change the price of a subscription plan you are on, we will notify you in advance (at least 30 days for material increases, or as required by Apple or Google policies). Your continued use of the subscription after the price change takes effect constitutes your agreement to pay the updated price. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

7. Refunds

We offer a 7-day money-back guarantee. If you are not satisfied within 7 days of your initial purchase, contact us at support@nionlite.com and we will process a full refund. Refund requests after 7 days are subject to the refund policies of Apple or Google, as applicable.

For Apple purchases, you may also request refunds directly through Apple at reportaproblem.apple.com. For Google Play purchases, you may request refunds at support.google.com/googleplay.

8. Account Deletion

You may request deletion of your CUB Rates account and all associated personal data at any time by contacting us at support@nionlite.com with the subject line "Account Deletion Request". We will process your request within 30 days.

Please note:

• Deleting your account does not automatically cancel any active subscriptions. You must cancel these separately through your Apple ID or Google Play account settings before requesting account deletion.
• Deleted accounts cannot be recovered
• Some data may be retained as required by law, for fraud prevention, or for legitimate business purposes, as described in our Privacy Policy

9. Acceptable Use

In addition to the license restrictions in Section 2, you agree not to:

• Use the App in any way that violates any applicable law or regulation
• Impersonate any person or misrepresent your affiliation with any person or entity
• Upload, transmit, or distribute any malicious code, viruses, worms, or harmful content
• Use the App to harass, abuse, threaten, or harm another person
• Reverse compile, decrypt, extract, or modify our cryptographic keys or security measures
• Use the App to compete with NiONlite or build a competing product
• Test, probe, or scan the App's vulnerability without prior written consent

We may investigate violations of these Terms and take appropriate action, including terminating your access to the App and reporting activity to law enforcement.

10. Intellectual Property

All content, trademarks, service marks, logos, designs, text, graphics, icons, images, and software in the App are the property of NiONlite LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property other than as expressly permitted under the license in Section 2.

Credit union names, logos, and related marks displayed in the App are the property of their respective owners and are used for identification purposes only.

11. Feedback

If you submit feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the App or our other products without any obligation to you. Feedback is not confidential.

12. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

13. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• The App will be error-free, uninterrupted, secure, or available at any particular time or location
• Any defects or errors will be corrected
• Mortgage rate data displayed will be accurate, complete, current, or suitable for your purposes
• The App or servers that make it available are free of viruses or other harmful components

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NIONLITE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless NiONlite LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content you submit through the App.

16. Termination

We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including if you breach these Terms or if we discontinue the App. Upon termination, the license granted to you immediately ends, and you must cease all use of the App and delete all copies from your devices. Termination does not entitle you to a refund of any prepaid subscription fees unless required by law.

You may terminate these Terms at any time by uninstalling the App and requesting account deletion as described in Section 8.

Sections that by their nature should survive termination (including Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and General Provisions) will survive any termination of these Terms.

17. Governing Law

These Terms and any dispute arising out of or related to them or your use of the App are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@nionlite.com. We will attempt to resolve the dispute informally by contacting you. If we cannot resolve the dispute informally within 60 days, either party may pursue formal proceedings.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Maryland, and you consent to personal jurisdiction and venue in those courts. Nothing in this section limits your right to file a small-claims action in a court of competent jurisdiction.

19. Apple App Store — Additional Terms

The following additional terms apply if you downloaded the App from the Apple App Store. In the event of any conflict between this Section 19 and the other provisions of these Terms, this Section 19 shall prevail with respect to your use of the App on Apple devices.

19.1 Acknowledgment

These Terms are concluded between you and NiONlite LLC only, and not with Apple Inc. ("Apple"). NiONlite, not Apple, is solely responsible for the App and its content. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

19.2 Scope of License

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may also be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

19.3 Maintenance and Support

NiONlite is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

19.4 Warranty

NiONlite is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be NiONlite's sole responsibility.

19.5 Product Claims

NiONlite, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

19.6 Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, NiONlite, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

19.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

19.8 Developer Name and Address

Direct any questions, complaints, or claims regarding the App to NiONlite LLC, Maryland, United States, email: support@nionlite.com.

19.9 Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the App.

19.10 Third-Party Beneficiary

You and NiONlite acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

20. Google Play — Additional Terms

If you downloaded the App from Google Play, Google LLC is not a party to these Terms, has no responsibility for the App or its content, and has no obligation to provide maintenance, support, warranty, or handle claims related to the App. Your use of Google Play is also governed by the Google Play Terms of Service.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NiONlite regarding the App and supersede all prior agreements, communications, and understandings, whether written or oral.

21.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

21.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce it. No waiver of any term of these Terms shall be valid unless in writing and signed by an authorized representative of NiONlite.

21.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.

21.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil disturbance, pandemic, governmental action, power failure, internet outages, or third-party service disruptions.

21.6 Electronic Communications

By using the App, you consent to receive communications from us electronically, including by email, push notification, or in-app messaging. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

21.7 U.S. Government End Users

The App is a "commercial item" as defined at 48 C.F.R. §2.101, consisting of "commercial computer software" and "commercial computer software documentation." If you are a U.S. Government end user, the App is licensed to you with only those rights as are granted to all other end users under these Terms.

21.8 Export Controls

The App may be subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations. You agree not to export, re-export, or transfer the App in violation of any applicable export laws or to any prohibited country, entity, or individual.

21.9 No Agency

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and NiONlite.

21.10 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

22. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page, by in-app notification, or by email. Continued use of the App after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.
